1. Use of the Services

RetailWire provides a B2B community platform for retail industry news, analysis, discussions, and sponsor-supported resources. You may use the Services for lawful, professional purposes in accordance with these Terms.

You agree not to:

  • Use the Services for any unlawful or fraudulent purpose
  • Scrape, crawl, or reproduce content without our express written permission
  • Submit false, misleading, or spam content of any kind
  • Interfere with or disrupt the operation or security of the site
  • Use automated tools to access or interact with the Services in a way that imposes an unreasonable load on our infrastructure
  • Impersonate any person, company, or RetailWire itself

We reserve the right to terminate or restrict your access to the Services at any time, at our sole discretion, with or without notice.

2. Accounts and Registration

Certain features — such as commenting on discussions — may require you to register. You agree to provide accurate and complete information and to keep it current. You are responsible for all activity that occurs under your account and for maintaining the security of your login credentials.

We may remove or suspend accounts for misuse, violation of these Terms, or any other reason at our discretion.

3. Intellectual Property

All content published on RetailWire — including articles, editorial commentary, discussions, logos, graphics, and site design — is owned by or licensed to Orion LLC and protected by applicable intellectual property laws.

You may share links to our content and use social sharing features we provide. You may not reproduce, republish, redistribute, or publicly display substantial portions of our content without express written permission.

4. User-Submitted Content

When you submit content to the Services — including discussion comments, replies, or other user-generated material — you grant RetailWire a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, display, and distribute that content in connection with operating the Services.

You represent that you own or have the right to submit any content you provide, and that it does not infringe the rights of any third party. We reserve the right to moderate, edit, or remove any user-submitted content at any time and for any reason, including to comply with legal obligations or our community standards.

5. Press Release Submissions

We offer a paid press release submission service. Fees are charged at the time of submission and are non-refundable once your press release has been published. We reserve the right to decline or remove submissions that violate these Terms, contain false or misleading claims, or are otherwise inconsistent with our editorial standards — without refund if the submission has already been published.

Submission of a press release does not guarantee editorial coverage, placement in our newsletter, or a specific publication timeline beyond what is stated at the time of purchase.

6. Newsletters and Email Communications

By subscribing to RetailWire newsletters or submitting your email address through any form on the Services, you consent to receive email communications from us, which may include editorial content, sponsored messages, and partner offers.

You may unsubscribe from marketing emails at any time by clicking the unsubscribe link in any email we send. We will process unsubscribe requests promptly. Transactional emails related to services you have purchased or requested may not be subject to opt-out.

7. Sponsored and Advertiser Content

Some content and forms on RetailWire are sponsored by or created in partnership with third-party advertisers. When you submit a form for sponsored content — such as a whitepaper download, webinar registration, or vendor inquiry — your contact information may be shared with the sponsoring company for follow-up communications.

8. DMCA and Copyright Takedowns

10. Limitation of Liability

To the fullest extent permitted by applicable law, Orion LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from or related to these Terms or the Services will not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred dollars ($100).

You agree to defend, indemnify, and hold harmless Orion LLC and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in any way connected with your access to or use of the Services, your user-submitted content, or your violation of these Terms.

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of Arkansas, without regard to its conflict of law provisions. Any dispute arising under these Terms will be resolved exclusively in the courts located in Benton County, Arkansas.

14. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Orion LLC regarding your use of the Services and supersede any prior agreements.
